These Terms and Conditions (hereinafter referred to as "Agreement") shall govern the use of the Elevate Designs website (the "Site") and the services provided by Elevate Designs (the "Services"). The Services include the design of websites and the management of social media accounts.
By accessing the Site and/or using the Services, you agree to be bound by the terms and conditions set forth in this Agreement. If you do not agree to these terms and conditions, you should not use the Site or the Services.
Definitions
"Client" refers to the person or entity that engages Elevate Designs to provide the Services.
"Project" refers to the website design and development or social media management services provided by Elevate Designs to the Client.
Scope of Services
Elevate Designs shall provide the Client with the following Services:
a. Website Design: Elevate Designs shall design and develop a website for the Client, in accordance with the specifications provided by the Client. The website shall be developed using Showit software and technologies.
b. Social Media Management: Elevate Designs shall manage the Client's social media accounts, including creating and publishing content, managing interactions, and analyzing performance. The specific social media platforms to be managed shall be agreed upon between Elevate Designs and the Client.
Client Obligations
The Client shall be responsible for the following:
a. Providing Elevate Designs with all necessary information and materials needed to complete the Project, including but not limited to, text, images, logos, and branding elements.
b. Reviewing and approving all work produced by Elevate Designs in a timely manner, to ensure that the Project is completed on schedule.
c. Providing access to any third-party platforms or services necessary for Elevate Designs to complete the Project, including but not limited to, social media accounts, website hosting, and email services.
Payment Terms
The Client shall pay Elevate Designs the fees agreed upon for the Services provided. All fees are due and payable upon receipt of an invoice from Elevate Designs. Elevate Designs reserves the right to discontinue work on the Project if payment is not received in a timely manner.
Intellectual Property
The Client acknowledges that Elevate Designs retains all intellectual property rights to the Site and the Services, including but not limited too, the design, code, and content created by Elevate Designs. The Client shall not use the Site or Services for any purpose other than that for which it was originally intended, and shall not modify, copy, distribute, or otherwise use the Site or Services in any way that is not expressly permitted by this Agreement.
Warranties and Representations
Elevate Designs represents and warrants that it will perform the Services in a professional and workmanlike manner, in accordance with industry standards.
Limitation of Liability
Elevate Designs shall not be liable to the Client for any indirect, incidental, consequential, or punitive damages arising from or in connection with the Site or Services, including but not limited to, loss of profits, loss of business opportunities, or loss of data.
Indemnification
You agree to indemnify, defend, and hold harmless Elevate Designs, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, agents, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of your use of the Website or Services or your breach of these Terms.
Termination
Either party may terminate this Agreement at any time upon written notice to the other party. Upon termination, the Client shall pay Elevate Designs for all work performed
